Terms and Conditions of Sale

These Terms and Conditions (“Terms”) apply to all purchases of medical products, instruments, and equipment (the “Products”) made from Reliant Surgical Innovations, (US) Inc. (“Reliant Surgical”) via phone, email, fax, or our website (www.reliant-surgical.com). By placing an order, you (“Buyer”) agree to be bound by these Terms. These Terms supersede any prior agreements unless otherwise stated in writing by Reliant Surgical.

We may update these Terms at any time by posting changes to this page. Your continued use of our website or placement of orders after any update constitutes acceptance of the modified Terms.

Ordering & Acceptance

Orders may be placed through phone, fax, email, or our website. All orders are subject to Reliant Surgical’s acceptance. Reliant Surgical reserves the right to reject or cancel any order at its sole discretion.

Pricing & Payment

Prices are subject to change without notice. Payment is due per the invoice terms. A late fee of 1.5% per month (18% APR) applies to overdue balances. Returned checks incur a $25 fee. Prompt pay discounts are only honored if taken at the time of payment. Credit card payments are not eligible for discounts and may be subject to a processing fee.

Delivery & Risk of Loss

Unless otherwise agreed in writing, all shipments are FOB Reliant Surgical’s facility. Risk of loss passes to the Buyer upon transfer to the carrier. Partial shipments may be made and invoiced separately.

Inspection & Claims

All shipments must be inspected upon receipt. Claims for shortages, errors, or visible damage must be made in writing within 10 days of delivery.

Returns

Returns require prior authorization and an approved RMA form. Unauthorized returns will not be accepted or credited. Approved returns may be subject to a 25% restocking fee. Products must be unopened, in original packaging, with sufficient shelf life remaining. Custom items, opened packages, or items part of promotional deals are not eligible for return.

Warranty

Reliant Surgical warrants that Products will be free from defects in materials and workmanship for six (6) months from delivery (reusable instruments) or until expiration date (single-use Products). This limited warranty does not apply to misuse, unauthorized repairs, or improper handling. Remedies are limited to repair, replacement, or refund, at our discretion.

Limitation of Liability

RELIANT SURGICAL IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES INCLUDING LOST PROFITS OR REVENUE. OUR LIABILITY IS LIMITED TO THE PRICE PAID FOR THE PRODUCT.

Taxes

All applicable sales taxes, duties, and fees are the responsibility of the Buyer unless otherwise agreed.

Security Interest

Reliant Surgical retains a purchase money security interest in Products sold until full payment is received. We may file UCC financing statements to perfect this interest.

Indemnification

Buyer agrees to indemnify and hold Reliant Surgical harmless from any claims, costs, or liabilities arising from Buyer’s misuse of Products, failure to follow instructions, or violation of applicable law.

Intellectual Property

All trademarks, copyrights, and proprietary technology remain the property of Reliant Surgical. Buyer may not use, reproduce, or modify any Reliant Surgical IP without permission.

Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Texas. Reliant Surgical may bring legal action in Texas, Delaware, or any jurisdiction it chooses. Buyer waives the right to a jury trial and agrees to pay legal costs in the event of a dispute.
